WEBSITE TERMS OF USE

These Terms of Use (the “Terms”) govern your use of [www.bhealthe.com] and any other website or online service on which they are posted (the “Site”), operated by BHealthE, LLC, an Illinois limited liability company (“BHealthE,” “we” or “us”). By using the Site you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site. You must be at least 18 years old and located in the United States to use the Site.
Who We Are
Licensed Insurance Producer. BHealthE is a licensed insurance producer and independent marketing organization. We make insurance products and health benefit programs offered by third parties available for marketing through independent, licensed insurance producers who contract with us (“Advisors”). We are not an insurance company, health plan, plan sponsor, plan administrator or health care provider.
License Information. BHealthE holds an Illinois business entity insurance producer license, No.100369460 , and non-resident licenses in the states in which it does business. A list of states and license numbers is available at www.bhealthe.com

Scope
Public Site. These Terms apply only to the publicly accessible portions of the Site.
Program Sponsor Sites. The Site may link to enrollment portals and other websites operated by the insurers, plan sponsors and administrators whose programs we market (“Program Sponsors”). Those sites are governed by their operators’ own terms and privacy policies.
Insurance and Program Information
No Offer or Binding of Coverage. Nothing on the Site is an offer to sell insurance, an offer of coverage under any health benefit program, or a confirmation of coverage. Coverage and program participation are available only through the application, underwriting and enrollment processes of the applicable Program Sponsor, on the terms of the documents it issues. No coverage or participation exists until the Program Sponsor confirms it in writing.
Program Descriptions. Descriptions of products and programs on the Site are provided by or derived from the applicable Program Sponsor’s materials and are summaries only. The terms, conditions, eligibility requirements, exclusions, limitations, premiums and contributions of any product or program are governed solely by the Program Sponsor’s documents, which control over anything on the Site. Eligibility, pricing and benefits are determined by the Program Sponsor, may depend on underwriting and your circumstances, and vary by state. Not all products or programs are available in all states.
No Advice. Information on the Site is general and is not insurance, legal, tax, financial or medical advice or a recommendation that any product or program is suitable for you.
No Affiliation. BHealthE is independent of the insurers, plan sponsors, administrators and provider networks whose products and programs it markets. References to any of them identify the third party that issues, sponsors, administers or provides network access for a product or program; they do not mean BHealthE is owned by, employed by or the agent of that party except as the Program Sponsor has expressly authorized. BHealthE is not affiliated with or endorsed by any federal or state government agency or program, including Medicare, Medicaid or any state health insurance marketplace.
Advisors. Advisors are independent contractors, not employees of BHealthE. An Advisor who contacts you is an independent licensed insurance producer compensated by commission. You may verify any producer’s license through your state’s department of insurance.
Requests for Information
If you submit an inquiry or request through the Site, we or an Advisor licensed in your state may contact you about the products and programs you asked about. Any consent to receive calls or text messages is given on the form where you provide it and is governed by Section 5 and our Privacy Policy. Consent is not a condition of purchasing any product or program. You agree that the information you submit is accurate and that you are authorized to provide it.
Mobile Messaging Terms
Program. BHealthE, LLC offers text messaging programs through which we and the independent licensed insurance advisors who contract with us send informational and marketing text messages about insurance and health benefit programs (the “Messaging Program”). You enroll by providing your mobile number and checking the consent box on our website, You may also opt-out or manage your communication preferences by calling us directly at 815-316-0644 or emailing us at support@bhealthe.com.
Consent Is Not a Condition of Purchase. Consent to receive text messages or calls is voluntary and is not a condition of purchasing any product or program or of receiving a response to an inquiry by other means.
Message Types and Frequency. Informational messages relate to your inquiry, application or enrollment. Marketing messages describe insurance and health benefit programs. Message frequency varies. Message and data rates may apply from your wireless carrier; BHealthE is not responsible for carrier charges.
Opting Out. Reply STOP to any message to stop receiving text messages. You will receive one confirmation message, after which you will receive no further messages from that program unless you opt in again. You may also opt out by contacting us at [telephone] or [email]. Opting out of text messages does not withdraw any separate consent to receive calls or emails; you may withdraw those by contacting us.

Carriers. Wireless carriers are not liable for delayed or undelivered messages. Messaging may not be available on all carriers or in all areas.
Privacy. Mobile phone numbers and text-messaging opt-in data collected through the Messaging Program are used only to operate the program. They are not sold, rented or shared with third parties or affiliates for marketing purposes. They may be shared with service providers that deliver messages on our behalf, solely for that purpose. See our Privacy Policy.
No Health Information by Text. We do not send protected health information by text message. If health or other sensitive information must be exchanged in connection with an application or enrollment, it will be exchanged through the applicable Program Sponsor’s secure channels.
Changes. We may modify or discontinue the Messaging Program at any time. Material changes will be posted here with a new effective date.
Information About Becoming an Advisor
No Earnings Representation. The Site may describe the opportunity to become an Advisor. Nothing on the Site is a representation or guarantee of income, earnings or success as an Advisor. The only statement BHealthE makes regarding Advisor earnings is its Income Disclosure Statement, available at www.bhealthe.com. Individual results vary and depend on the Advisor’s own effort, skill and market.
Not Employment or a Business Opportunity. Becoming an Advisor is not employment with BHealthE and is not the purchase of a franchise or business opportunity. Participation is governed solely by the Independent Advisor Agreement and the documents it incorporates. Advisors must hold the insurance producer licenses and appointments required by the states in which they market.
Use of the Site
License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Site for your personal, non-commercial purposes of learning about our services and contacting us.
Prohibited Conduct. You will not: (a) use the Site for any unlawful purpose or in violation of these Terms; (b) copy, reproduce, distribute, modify or commercially exploit any content on the Site except as these Terms permit; (c) use any robot, scraper or automated means to access the Site or collect information from it; (d) attempt to gain unauthorized access to any portion of the Site or any system connected to it; (e) introduce any virus or harmful code; (f) impersonate any person or misrepresent your affiliation with any person or entity; or (g) interfere with the operation or security of the Site.
Suspension. We may suspend or terminate your access to the Site at any time, with or without notice, for conduct we believe violates these Terms or is harmful to the Site, other users or BHealthE.
Intellectual Property
Ownership. The Site and all content on it are owned by BHealthE or its licensors and are protected by copyright, trademark and other intellectual property laws. All rights not expressly granted are reserved. BHealthE and the BHealthE logo are trademarks of BHealthE, LLC.
Third-Party Marks. The names, marks and logos of Program Sponsors, insurers, provider networks and administrators that appear on the Site are the property of their respective owners, are used with permission or as nominative references, and may not be used by you for any purpose.
Third-Party Links
The Site may link to third-party websites, including Program Sponsor sites, enrollment platforms and payment processors. We do not control and are not responsible for their content, accuracy, privacy practices or availability. A link does not imply our endorsement. Your use of third-party sites is at your own risk and subject to their terms.
Privacy
Our collection, use and disclosure of information through the Site are described in our Privacy Policy, which is incorporated into these Terms.
Disclaimer of Warranties
THE SITE AND ALL CONTENT ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. BHEALTHE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT CONTENT IS ACCURATE, COMPLETE OR CURRENT. PRODUCT AND PROGRAM INFORMATION IS SUBJECT TO THE PROGRAM SPONSOR’S DOCUMENTS, WHICH CONTROL. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BHEALTHE AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS AND ADVISORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BHEALTHE’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW AND DOES NOT APPLY TO ANY POLICY, CERTIFICATE OR PROGRAM DOCUMENT ISSUED BY A PROGRAM SPONSOR.
Indemnification
You agree to defend, indemnify and hold harmless BHealthE and its members, managers, officers, employees and agents from all claims, liabilities, damages, losses and expenses, including reasonable attorneys’ fees, arising out of your violation of these Terms, your misuse of the Site, or your violation of any law or the rights of any third party.
Governing Law and Disputes
Governing Law; Forum. These Terms and any dispute arising out of or relating to the Site are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. Subject to Section 14.2, you agree to the exclusive jurisdiction of the state and federal courts located in Winnebago County, Illinois.
Arbitration. [OPTIONAL: Any dispute arising out of or relating to the Site or these Terms that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules before a single arbitrator. The Federal Arbitration Act governs this Section. Either party may bring an individual claim in small claims court instead. BHealthE will pay all arbitration filing and administrative fees in excess of the amount you would pay to file in small claims court. This Section does not apply to any dispute between BHealthE and an Advisor, which is governed by the Independent Advisor Agreement.]
Class Action Waiver. [OPTIONAL: YOU AND BHEALTHE AGREE THAT ANY DISPUTE WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION.]
Changes to These Terms
We may revise these Terms by posting the revised Terms on the Site with a new effective date. Revisions apply to your use of the Site after the effective date, and we will provide notice on the Site of any material change. Your continued use of the Site after the effective date constitutes acceptance. Revisions to these Terms do not amend the Independent Advisor Agreement.
General
These Terms and the Privacy Policy are the entire agreement between you and BHealthE regarding the Site. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms; we may assign them to an affiliate or successor. You consent to receive communications from us electronically.
